1. About these Terms

These Terms of Use govern your access to and use of the Mosaic website, research materials, early-access registration, paper-execution information, and other features currently made available by Mosaic (collectively, the “Services”).

Mosaic is currently a pre-launch project operated by its founder and has not yet been incorporated as a separate legal entity. In these Terms, “Mosaic,” “we,” “us,” and “our” refer to the Mosaic project and its current operator.

By accessing or using the website or submitting information through an early-access form, you agree to these Terms. Our Privacy Policy explains how we collect, use, store, and protect personal information.

If you do not agree to these Terms, please do not use the Services.

2. The Services

Mosaic currently provides or publishes:

• Information about Mosaic and its products;
• Research concerning public trader behaviour, strategy construction, market data, execution, and risk;
• Historical research results, charts, metrics, and explanations;
• Information about Mosaic's live signal-generation and paper-execution systems;
• Early-access registration and product or research updates; and
• Other website or research features that we make available from time to time.

The current Services do not include live trading with user funds, custody of user assets, deposits, withdrawals, brokerage services, managed accounts, or live execution through a connected user wallet or exchange account.

Mosaic Strategy currently operates in research and paper-execution mode. Mosaic Portfolio, Mosaic Terminal, Mosaic Vaults, connected-account execution, and related user-facing functionality are under development.

Their final functionality, availability, supported venues, fees, eligibility requirements, permissions, and applicable terms may differ from information currently presented on the website.

Nothing in these Terms requires Mosaic to launch any product or feature.

3. Eligibility and geographic availability

You may use the Services only if:

• You are at least 18 years old or the age of legal majority where you live, whichever is higher;
• You have the legal capacity to agree to these Terms;
• Your use of the Services is lawful where you are located; and
• You are not prohibited from using the relevant Services under applicable law or restrictions imposed by a relevant exchange, protocol, wallet provider, or other third-party service.

Future Mosaic products may not be available in every country or region.

Access to a Mosaic feature that interacts with a third-party trading venue may depend on whether that venue permits you to use its services.

Mosaic may restrict or refuse access where required by law, by a third-party provider, or where we reasonably believe providing access would create a material legal, regulatory, security, fraud, or operational risk.

The fact that a product, venue, or integration is described on the website does not mean that it is available or appropriate for every person or jurisdiction.

4. Early access and waitlist registration

When you join the Mosaic waitlist, we ask you to provide your email address, product interests, and any other information requested by the early-access form.

You agree to provide information that is accurate and that you are authorised to provide.

Joining the waitlist does not:

• Create a Mosaic trading or investment account;
• Guarantee access to any Mosaic product;
• Guarantee a launch date or invitation;
• Reserve capacity in a future product;
• Require you to purchase anything;
• Create a brokerage, investment-management, advisory, fiduciary, agency, or similar relationship; or
• Require Mosaic to launch or provide any product or service.

We use your information to send research updates, product updates, testing progress, early-access invitations, and related communications as described in our Privacy Policy.

You may unsubscribe from non-essential marketing communications at any time.

5. Research, signals, and paper execution

Mosaic researches trading strategies using public market and trader-behaviour data.

Materials made available through the Services may include strategy descriptions, signals, performance figures, charts, risk metrics, simulations, backtests, historical analysis, and paper-execution results.

These materials may depend on assumptions or modelling choices concerning matters such as:

• Trading fees and funding;
• Slippage and execution timing;
• Leverage and position sizing;
• Liquidity and market impact;
• Data availability and completeness;
• Rebalancing;
• Strategy capacity; and
• Other market or operational conditions.

Historical research

Historical and backtested results describe what a strategy or methodology produced when applied to historical data under stated assumptions.

They do not represent a promise, prediction, or guarantee of future results.

Paper execution

Paper execution is simulated execution using live or historical market information.

It does not place live orders with user funds and does not demonstrate that identical results could be achieved using real capital.

Live results may differ materially because of factors including latency, liquidity, slippage, funding, fees, leverage, capacity, changing market conditions, changes in trader behaviour, exchange outages, software failures, data errors, and other operational constraints.

Past performance, whether historical, simulated, backtested, or paper-traded, is not a guarantee of future performance.

Mosaic may correct, update, suspend, or remove research materials when we identify errors, receive better information, change methodology, or otherwise consider an update appropriate.

We do not guarantee that research data, signals, calculations, charts, or other published information will always be complete, accurate, current, or error-free.

6. No investment or professional advice

The current Services are provided for general informational and research purposes.

Nothing provided through the current Services constitutes individualised investment, financial, trading, brokerage, portfolio-management, legal, tax, accounting, or other professional advice.

Nothing on the website guarantees returns or represents that any particular strategy or transaction is suitable for you.

You are responsible for evaluating your own circumstances, objectives, financial position, experience, risk tolerance, and legal obligations.

You should obtain independent professional advice where appropriate before making financial, legal, tax, or trading decisions.

You should not rely on Mosaic research, signals, performance figures, or product descriptions as the sole basis for a financial decision.

7. Trading and digital-asset risk

Trading digital assets and derivatives can involve substantial risk.

Depending on the product and venue, risks may include:

• Losing some or all of the capital committed to a position;
• Liquidation of leveraged positions;
• Rapid or extreme market movements;
• Slippage and insufficient liquidity;
• Funding and trading costs;
• Market impact;
• Delayed, rejected, duplicated, or incorrectly executed orders;
• Exchange, protocol, wallet, network, API, or infrastructure outages;
• Smart-contract or software failures;
• Incorrect, delayed, or incomplete market data;
• Cybersecurity incidents;
• Changes in law, regulation, or venue eligibility; and
• Other technical, operational, market, and counterparty risks.

Risk controls may reduce certain risks but cannot eliminate trading losses or guarantee a particular outcome.

You should not trade with funds you cannot afford to lose.

8. Connected accounts and execution

Mosaic's connected-account functionality will allow users to connect a wallet, exchange account, subaccount, or other supported trading account.

When connected-account functionality becomes available, we will disclose the permissions requested before you authorise them.

Connected-account execution will be non-custodial. You will retain custody of your assets. Mosaic will never have withdrawal or transfer access to connected user wallets or exchange accounts.

You should never provide Mosaic with a wallet seed phrase or private key.

Connected-account functionality may use trading permissions, delegated credentials, APIs, wallet signatures, smart contracts, or other mechanisms supported by the relevant venue.

Depending on the product, an authorisation may permit Mosaic systems to submit, modify, or cancel orders in accordance with instructions, strategy settings, account limits, allocations, or other permissions configured by you.

You will remain responsible for:

• Deciding whether to connect an account;
• Reviewing the permissions you authorise;
• Maintaining the security of your wallet, account, device, and credentials;
• Setting and reviewing your own account limits where available;
• Complying with the terms and eligibility requirements of the relevant exchange, wallet, protocol, or venue; and
• Monitoring your account and positions.

Mosaic does not guarantee that a position limit, leverage limit, pause control, de-risking rule, order instruction, disconnect function, or other automated safeguard will operate without interruption or achieve a particular result.

Non-custodial execution does not eliminate trading risk.

Mosaic does not currently provide live connected-account execution. Additional product terms, disclosures, permissions, eligibility requirements, and risk acknowledgements may apply before any such feature becomes available.

9. Third-party services and trading venues

Mosaic may use, integrate with, display information from, or depend on third-party services, including exchanges, trading protocols, wallets, blockchains, APIs, data providers, hosting providers, analytics providers, and communications infrastructure.

Third-party services operate independently from Mosaic.

Unless we expressly state otherwise, an integration or reference does not mean that Mosaic is owned by, operated by, affiliated with, sponsored by, or endorsed by the relevant third-party provider.

Your use of a third-party service is subject to that provider's own terms, policies, eligibility rules, fees, and risk disclosures.

Mosaic does not control and is not responsible for a third party's:

• Availability or performance;
• Trading rules or market structure;
• Fees, funding rates, limits, or functionality;
• Geographic or user restrictions;
• Account suspensions or restrictions;
• Data accuracy or completeness;
• Cybersecurity or operational incidents;
• Changes to its APIs or services; or
• Delayed, rejected, cancelled, or incorrectly executed transactions.

A third-party failure or change may prevent Mosaic features from operating correctly or at all.

10. Fees

There is currently no fee to join the Mosaic waitlist or access publicly available website research.

Future Mosaic products may charge subscription, execution, platform, performance, data, or other fees where legally and commercially appropriate.

Any Mosaic fee applicable to a product will be disclosed before you purchase, subscribe to, allocate assets to, or enable the relevant product.

Separate charges imposed by an exchange, protocol, blockchain, wallet, or other third party may also apply.

Mosaic may change future product pricing, capacity, supported venues, limits, or feature availability.

11. Acceptable use

You may use the Services only for lawful purposes and in accordance with these Terms.

You must not:

• Use the Services in violation of applicable law or regulation;
• Provide false, misleading, fraudulent, or unauthorised information;
• Attempt to gain unauthorised access to the website, APIs, infrastructure, accounts, systems, or data;
• Interfere with the operation, availability, or security of the Services;
• Introduce malware, malicious code, or other harmful material;
• Circumvent access controls, security systems, rate limits, geographic restrictions, or other safeguards;
• Use automated systems to abuse forms, APIs, accounts, or infrastructure;
• Scrape or systematically extract Mosaic content or data in a manner that is unauthorised or materially burdens the Services;
• Reverse engineer Mosaic software except where applicable law expressly permits it;
• Use the Services to manipulate markets, engage in fraud, or facilitate unlawful trading;
• Impersonate Mosaic or another person or organisation;
• Violate another person's intellectual-property, privacy, or other legal rights; or
• Encourage or assist another person to do any of these things.

We may investigate suspected misuse and may restrict access where we reasonably believe misuse, fraud, abuse, unlawful conduct, or a security threat has occurred.

12. Intellectual property

The Mosaic website and its contents, including the Mosaic name, branding, interfaces, software, written materials, research presentation, charts, graphics, designs, and other original materials, are owned by or licensed to Mosaic unless otherwise stated.

Subject to these Terms, you may access and use publicly available Mosaic materials for your own lawful, non-commercial informational purposes.

You may not reproduce, modify, sell, license, redistribute, commercially exploit, or create derivative products from Mosaic materials without permission, except where applicable law permits such use.

You may refer to or quote reasonable portions of publicly available Mosaic materials for commentary, research, journalism, or review where your use is lawful, accurate, non-misleading, and appropriately identifies Mosaic as the source.

Nothing in these Terms gives you rights in third-party data, trademarks, or materials that may appear through the Services.

13. Feedback

If you voluntarily provide ideas, suggestions, bug reports, feature requests, or other feedback about Mosaic, you permit us to use that feedback to develop, improve, operate, or market Mosaic without payment or obligation to you.

You retain ownership of material that you independently own.

You confirm that you have the right to provide any feedback or material you submit.

14. Availability and changes

Mosaic is under active development.

We may add, modify, suspend, restrict, or discontinue any part of the Services at any time.

We do not guarantee that:

• The Services will always be available;
• Any particular feature will launch;
• A particular integration will remain supported;
• We will always update information immediately;
• We will always correct errors; or
• The Services will operate without interruption.

We may update these Terms as Mosaic develops.

When we do, we will update the “Last updated” date on this page. Material changes will apply prospectively and, where appropriate, we may also provide notice through the website, email, or another reasonable channel.

When a future product creates materially different rights, obligations, or risks, you may be required to accept additional or updated terms before using it.

15. Suspension and termination

You may stop using the Services at any time.

Mosaic may suspend, restrict, or terminate access where:

• You materially breach these Terms;
• Your activity creates a security, legal, regulatory, or operational risk;
• We reasonably suspect fraud, abuse, unauthorised activity, or unlawful conduct;
• A relevant third-party provider requires us to restrict access;
• Applicable law requires us to do so; or
• The relevant Service is discontinued.

Provisions that by their nature should survive termination—including provisions relating to intellectual property, disclaimers, liability, disputes, and misuse—will continue to apply after your access ends.

16. Disclaimers

To the fullest extent permitted by applicable law, the Services are provided on an “as is” and “as available” basis.

Mosaic does not make any guarantee or warranty that:

• The Services will meet your requirements;
• Research, data, signals, calculations, or other information will be accurate, complete, or current;
• Historical or simulated results will be reproduced in live trading;
• The Services will be uninterrupted or error-free;
• A third-party service will remain available;
• We will always correct errors or vulnerabilities;
• Any particular product will launch; or
• Any strategy, feature, or risk control will prevent losses.

To the fullest extent permitted by applicable law, Mosaic disclaims implied warranties and conditions including merchantability, fitness for a particular purpose, and non-infringement.

Nothing in these Terms excludes rights or protections that cannot legally be excluded.

17. Limitation of liability

To the fullest extent permitted by applicable law, Mosaic and its current operator, contributors, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to the Services.

This includes, where legally permitted, loss of:

• Profits or revenue;
• Business opportunities;
• Data;
• Goodwill;
• Trading capital;
• Digital assets;
• Account value; or
• Expected gains or savings.

The limitations in this section apply regardless of the legal theory on which a claim is based, but only to the extent permitted by applicable law.

Nothing in these Terms excludes or limits liability for fraud, wilful misconduct, or any other liability that cannot lawfully be excluded or limited.

18. Responsibility for misuse

To the extent permitted by applicable law, you are responsible for losses, liabilities, costs, or third-party claims that result directly from:

• Your unlawful or unauthorised use of the Services;
• Your intentional violation of another person's rights;
• Fraud or deliberate misconduct by you; or
• Your material breach of these Terms.

Where Mosaic faces a third-party claim because of such conduct, you agree to reasonably cooperate with us in responding to that claim.

This section does not make you responsible for losses caused by Mosaic's own conduct where applicable law does not permit that responsibility to be transferred to you.

19. Disputes and applicable law

Mosaic has not yet been incorporated and has not designated a contractual governing law, exclusive court, or arbitration forum for the current pre-launch Services.

If a dispute arises, please get in touch with us first at hello@mosaictrading.xyz so that we can try to resolve the issue informally.

If we cannot resolve a dispute informally, the applicable law, jurisdiction, and forum will be determined under the laws and conflict-of-law rules that legally apply to the dispute.

Nothing in these Terms overrides mandatory rights or legal protections that apply regardless of a contractual choice of law.

Before Mosaic launches paid products, live connected-account execution, managed allocation, or other services that materially change the legal relationship with users, these Terms may be replaced or supplemented with terms identifying the relevant legal operator, governing law, dispute process, and any additional product-specific or regulatory requirements.

20. General terms

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in effect. Where legally permitted, the affected provision will be interpreted or modified only to the minimum extent necessary to make it enforceable.

These Terms, together with our Privacy Policy and any additional terms that expressly apply to a particular Service, form the agreement between you and Mosaic regarding your use of the Services.

Mosaic's failure to enforce a provision does not waive our right to enforce it later.

You may not transfer your rights or obligations under these Terms without our written consent.

If Mosaic later forms or transfers its operations to a legal entity, these Terms may be assigned to that entity as part of the formation, reorganisation, financing, acquisition, transfer of assets, or similar transaction, subject to applicable law and any applicable notice requirements.

These Terms do not create a partnership, employment, agency, fiduciary, brokerage, investment-advisory, or joint-venture relationship between you and Mosaic.
